Terms of Service

The service

LLCDeck provides business filing support and coordination: preparation and submission of state formation documents, registered agent coordination, document preparation (such as operating agreement templates and banking resolutions), EIN application support, and compliance reminders. Services are administrative and informational; they are not legal, tax, or accounting services (see the Legal Disclaimer, incorporated into these terms).

Ordering, review, and payment

Submitting the start form creates an order request, not a completed purchase — no payment is taken at submission. A specialist reviews your request, confirms your exact total (our service fee plus applicable state fees and selected add-ons), and sends a secure payment link. Work begins after payment. Prices are in USD; state fees are collected at cost and remitted to the state.

Your obligations

You warrant that the information you provide is accurate and complete, that you are authorized to form the entity, and that the business activity is lawful. You agree to respond to reasonable requests for information; delays caused by missing or inaccurate information extend timelines and are not grounds for refund beyond the Refund Policy.

Renewals and ongoing services

Recurring services (registered agent from year two, Annual Compliance Service) renew at the prices stated on the pricing page at the time of purchase or subsequent notice. We send renewal reminders at least 30 days before charging; you may cancel before the renewal date. Lapsing a registered agent has legal consequences described on the service page — cancellation is your decision and responsibility.

Intellectual property and acceptable use

Website content, design, and the LLCDeck brand are our property; templates we deliver to you are licensed for your entity's use. You may not use the services for unlawful purposes, misrepresentation, or entities intended to facilitate fraud, and we may refuse or discontinue service in such cases with a refund of unearned fees.

Disclaimers and liability

Services are provided “as is” to the extent permitted by law. We are not liable for decisions of states, the IRS, banks, payment processors, or platforms; for changes in law or fees; or for indirect or consequential damages. Our total liability for any claim is limited to the service fees you paid LLCDeck for the service giving rise to the claim.

General

These terms are governed by the law of the jurisdiction stated at checkout. If any provision is unenforceable, the remainder stands. We may update these terms with notice on this page; continued use after changes constitutes acceptance. Questions: legal@llcdeck.com.
