Registered Agent

The one thing every U.S. LLC must have โ€” handled.

A registered agent is your LLC's official point of contact in its formation state: a real street address, staffed in business hours, receiving state and legal mail. We coordinate it, scan what matters, and remind you before renewal.

The requirement

What a registered agent actually does.

Every state requires every LLC to continuously maintain a registered agent. It's not an upsell โ€” it's the law of the formation state.

  • Physical street address in your formation state โ€” P.O. boxes don't qualify.
  • Business-hours availability to accept service of process and official notices in person.
  • State mail handling โ€” annual report notices, tax letters, and compliance correspondence.
  • Legal document receipt โ€” if your LLC is ever served, the agent receives it and you're alerted immediately.
  • Same-day scanning of important documents to your deck, wherever you are in the world.

Privacy

Keep your home address off public records.

In privacy-friendly states, the registered agent's address โ€” not yours โ€” can appear on public filings.

Your address stays yours

Where the state permits it, filings list the agent's address instead of your personal one โ€” useful when public records are scraped by spammers and data brokers.

Strongest in WY & NM

Wyoming and New Mexico don't require member names on public formation documents, making them the go-to states for founder privacy.

Honest limits

Privacy rules vary by state, and banks will still verify your real identity privately (that's KYC, and it's normal). We tell you exactly what is and isn't public in your state.

Use-case limits

A registered agent address is for state and legal mail. It may not satisfy every bank, payment platform, or marketplace address requirement โ€” those institutions set their own rules. See our Business Address & Mail Guidance for the full picture.

Registered Agent FAQ

What founders ask about registered agents.

Can I be my own registered agent from outside the U.S.?

No. A registered agent must have a physical street address in the formation state and be available there during business hours. If you live abroad, you'll need a professional registered agent โ€” which is exactly what we coordinate.

What mail does the registered agent receive?

Official state correspondence, annual report notices, tax notices, and service of process (legal documents if the company is ever sued). Important items are scanned and delivered to your deck promptly.

Does the registered agent address work for banks and Stripe?

Sometimes, but not always. A registered agent address satisfies the state requirement; banks and payment platforms may ask for a separate business or mailing address. Our Business Address & Mail Guidance covers the honest options.

What happens if I don't maintain a registered agent?

The state can revoke your LLC's good standing and eventually administratively dissolve it. You could also miss a lawsuit notice โ€” which can lead to a default judgment. It's the one service you should never let lapse.

How much does renewal cost?

$99 per year after your first year, stated up front. We send reminders well before renewal โ€” no auto-charge surprises.

Never miss a legal notice again.

Formation Plus includes your first year of registered agent coordination โ€” with renewal pricing stated before you buy.
