State annual report

Most states require a yearly (or biennial) report with a fee. Miss it and late fees stack up before good standing is revoked.

Registered agent renewal

Your agent must be maintained continuously. A lapsed agent means missed legal notices — and states notice.

Federal filings

Foreign-owned single-member LLCs generally must file IRS Form 5472 with a pro-forma 1120 each year — the penalty for missing it starts at $25,000. We remind you; a tax professional files it.

What happens if I miss my annual report?

Late fees first (Florida's is $400), then loss of good standing, and eventually administrative dissolution — the state shuts your LLC down. Reinstatement is possible but costs more than staying compliant ever would.

My state has no annual report. Am I done?

Not quite. New Mexico LLCs skip the state report, but you still need to maintain your registered agent every year — and federal obligations (like IRS Form 5472 for foreign-owned single-member LLCs) exist regardless of state. We flag these; your tax professional files them.

Does LLCDeck file my taxes?
