New Mexico LLC for Non-Residents
The lowest-maintenance LLC in America: a $50 filing, no annual report, and strong privacy — ideal for lean online businesses.
Overview
New Mexico is the minimalist's choice. The filing fee is the lowest of any popular state, member names stay off public documents, and — uniquely among the big non-resident states — there is no annual report at all. Once formed, your only recurring state-side obligation is maintaining a registered agent. For solo founders running lean online businesses, that simplicity is hard to beat.
Watch out for
"No annual report" doesn't mean "no obligations": your registered agent must stay active every year, and federal filings (Form 5472 for foreign-owned single-member LLCs) apply regardless of state. New Mexico is also slightly less familiar to some banks than Wyoming or Delaware — rarely a blocker, occasionally an extra question during verification.
Formation timeline
| Stage | Typical time | What happens |
|---|---|---|
| Name check & filing prepared | 1-2 business days | We verify availability and prepare Articles of Organization for non-resident ownership. |
| State processing | 1-3 business days | New Mexico's online system is among the fastest in the country. |
| Documents delivered | Same day as approval | Stamped articles in your deck; registered agent active from filing. |
Timelines are estimates based on typical state and IRS processing and are not guaranteed.
