New Mexico LLC for Non-Residents

The lowest-maintenance LLC in America: a $50 filing, no annual report, and strong privacy — ideal for lean online businesses.

Overview

New Mexico is the minimalist's choice. The filing fee is the lowest of any popular state, member names stay off public documents, and — uniquely among the big non-resident states — there is no annual report at all. Once formed, your only recurring state-side obligation is maintaining a registered agent. For solo founders running lean online businesses, that simplicity is hard to beat.

Watch out for

"No annual report" doesn't mean "no obligations": your registered agent must stay active every year, and federal filings (Form 5472 for foreign-owned single-member LLCs) apply regardless of state. New Mexico is also slightly less familiar to some banks than Wyoming or Delaware — rarely a blocker, occasionally an extra question during verification.

New Mexico FAQ

New Mexico-specific questions.

Does a New Mexico LLC really have no annual report?

Correct — New Mexico LLCs file no annual report and pay no annual state fee. You still maintain a registered agent each year, and federal IRS obligations apply as they do everywhere.

What does a New Mexico LLC cost per year?

After the $50 formation, the only recurring cost is registered agent renewal — $99/yr through LLCDeck after your included first year.

Is New Mexico as private as Wyoming?

Both keep member names off public formation records, which is what most founders mean by privacy. The practical difference is negligible for a remote business; choose on cost and familiarity instead.

Will banks accept a New Mexico LLC?

Yes — a properly formed New Mexico LLC with an EIN is a legitimate U.S. entity everywhere. Occasionally a reviewer less familiar with NM asks an extra verification question; complete documents (which we prepare) answer it.
